規約（RaCoupon）

第1条（目的）

  1. 本規約は、楽天グループ株式会社（以下「当社」といいます）が、楽天会員規約（以下「会員規約」といいます）に基づき会員登録をした会員（以下「会員」といいます）に対して、RaCouponおよびこれに関連するサービス（以下「本サービス」といいます）を提供するにあたり、その諸条件を定めるものです。
  2. 本サービスに関し本規約に規定のない事項については、別途当社の定めるルール、ガイドライン等（以下「ガイドライン等」といいます）および会員規約が適用されます。
  3. クーポンが適用される取引について、当社と会員との間に適用される規約と本規約が異なる場合、本規約が優先して適用されます。

第2条（RaCoupon）

  1. 本サービスにおいて当社が提供するクーポン（以下「クーポン」といいます）は、以下の各号に定める2種類とします。
    (1) 「サービスクーポン」　当社または当社が指定する第三者が発行するクーポンであって、楽天市場モール、当社または当該第三者が指定するウェブサイトおよびそれらを利用するためのアプリケーション（以下「指定ウェブサイト」といいます）において使用することができるもののうち、次号に定めるクーポンを除いたものをいいます。
    (2) 「ショップクーポン」　当社の指定する第三者（楽天市場モールにショップを出店している出店者、楽天トラベルに登録している宿泊施設等を含みますが、これらに限りません。以下「ショップ」といいます）が当社の提供するシステムを利用して会員に対し発行するクーポンまたは当社がショップとの間で定めた条件に従って発行するクーポンであって、指定ウェブサイトにおいて使用することができるものをいいます。
  2. クーポンの付与条件、会員がクーポンによって受けることができるサービスの内容、クーポンの有効期間、利用条件、その他の諸条件等は、当社が別途クーポンごとに定めるものとし（ただし、ショップクーポンについては、当社が認める範囲内で、ショップが定めるものとします）、会員はクーポンを受領する都度これらを確認のうえクーポンを利用するものとします。
  3. 会員が、クーポンごとに定められている付与条件を充足した場合、当社（ショップクーポンについてはショップ）は会員に対してクーポンの付与を行います。
  4. 当社（サービスクーポンについては当社が指定する第三者を含み、以下同様。ショップクーポンについてはショップ）が、所定のウェブサイトにおけるクリック、URLの入力、その他クーポンの取得方法を指定する場合、会員は当該クーポンの取得にあたり、所定の手続きを行うものとします。
  5. 会員は、当社（ショップクーポンについてはショップ）が定める利用条件を充足した場合、当社所定の方法によりクーポンを利用することができます。

第3条（クーポンの管理）

  1. 当社は、当社所定の方法により、会員が保有するクーポンの数および内容等を会員に告知します。
  2. 第1項のクーポンの数および内容等に関する最終的な決定は当社が行うものとし、会員はこれに従うものとします。
  3. 会員は、ショップクーポンの付与条件、内容（利用条件、会員がクーポンによって受けることができるサービスの内容、有効期間、その他の諸条件等）、保有するクーポンの数について疑義のある場合は、当該ショップクーポンを発行したショップにこれを確認するものとします。

第4条（クーポンの譲渡の禁止）

  1. 会員は、保有するクーポンを第三者に譲渡または質入したり、会員間でクーポンを共有したりすることはできません。
  2. 一人の会員が複数の会員登録をしている場合、会員はそれぞれの会員登録において保有するクーポンを他の会員登録に移し、または合算することはできません。

第5条（クーポンの取消しおよび消滅）

  1. 当社は、次の各号のいずれかに該当すると判断した場合、会員に事前に通知することなく、会員が保有するクーポンの一部または全部を取消すことができます。
    (1) 当社がクーポンを付与した後に、会員が当該クーポンについて付与条件を充足していないことが明らかとなった場合
    (2) 会員に違法行為または不正行為があった場合
    (3) 本規約、会員規約、その他当社が定める規約またはルール等に違反があった場合
    (4) その他、会員に付与されたクーポンを取消すことが適当であると当社が合理的に判断した場合
  2. 当社は、技術上または事務処理上、当社またはショップが予定していた内容と異なった内容で発行した場合等、会員に付与したクーポンを取消すことが適当であると当社が合理的に判断した場合、指定ウェブサイトに定める契約成立の有無にかかわらず、商品またはサービスを現実に受領または利用開始するまでの間、会員に事前に通知することなく、会員が保有するクーポンの一部または全部を取消すことができます。
  3. 会員が、クーポンごとに定められる有効期間内に当該クーポンを利用しない場合、当該クーポンは有効期間経過後、自動的に消滅します。

第6条（決済におけるクーポンの利用）

  1. 会員は、保有するクーポンの内容に応じ、指定ウェブサイトにおける商品またはサービスの代金（送料、手数料および消費税を含みます。以下同様）の全部または一部の支払い（以下「決済」といいます）において、当社所定の方法によりこれを利用することができます。
  2. 当社（ショップクーポンについてはショップ）は、前項のクーポン利用の対象となるサービスまたは商品等を制限し、またはクーポンの利用に条件を付す場合があります。
  3. 会員は、クーポンを利用せずに決済を完了した場合、決済後に当社、ショップまたは当該取引の相手方に対してクーポンの利用を請求することはできません。
  4. 会員は、クーポン利用の取消しもしくはクーポンを利用して決済した取引の取消しまたは変更を希望する場合には、当該取引の相手方との間で直接これを解決するものとします。当社は、当社の責めに帰すべき事由に基づく場合を除き、クーポンの返還、再発行またはクーポン利用分の代金額の返金等を行いません。なお、クーポンの内容または利用条件として別途定めのある場合はこれに従うものとします。
  5. クーポンを決済に利用するに際し、当該クーポンによって受けられる値引き、その他の利益の額が決済代金を上回る場合でも、会員は、当社、ショップまたは当該取引の相手方に対して、当該クーポンと決済代金の差額の返金（現金、ポイント、クーポン等の媒体を問いません）または追加での商品もしくはサービスの提供を請求することはできないものとします。

第7条（決済以外でのクーポンの利用）

  1. 会員は、前条に定める決済での利用の他、クーポンの内容に応じてクーポンを利用し、プレゼント、サービス、抽選への応募、その他の特典（以下「特典」と総称します）と交換することができます。
  2. 特典の種類、内容、その他の諸条件については、クーポンごとに当社（ショップクーポンについてはショップ）が定めるものとします。
  3. 特典は、当社（ショップクーポンについてはショップ）が委託する提携会社（以下「提携会社」といいます）から提供される場合があり、この場合の特典利用の条件については、各提携会社の規約または約款等に従うものとし、当社およびショップは特典の品質、有用性等について、何ら保証するものではありません。
  4. ショップクーポンによって受けられる特典は、ショップが定めるものであり、当社はその品質、有用性等について何ら保証するものではなく、会員は当該ショップクーポンにより受けられる特典について疑義が生じた場合、ショップとの間で直接これを解決するものとします。
  5. 当社（ショップクーポンについてはショップ）は、クーポンによって受けられる特典の内容を変更する場合があり、また品切れ、提携会社との提携解消、その他の事情によりクーポンにより受けられる特典を提供できない場合があります。
  6. 会員は、当社（ショップクーポンについてはショップ）または提携会社に責めのある場合を除き、特典の返品または他の特典への交換を請求することはできません。

第8条（事故等）

  1. クーポンを利用して購入した商品または特典等につき、その配送中または配送後の紛失、盗難、損害、破損および配送の遅延等の事故について、当社は、当社の責めに帰すべき事由に基づく場合を除き責任を負わず、クーポンの返還等も行わないものとします。

第9条（クーポン利用後のクーポンの取消し）

  1. 会員が決済においてクーポンを利用した後に、第5条によりクーポンが取消された場合、当該決済の対象となる取引が取消されまたは留保されることがあります。第5条第2項に起因する場合においては、指定ウェブサイトに定める契約成立の有無にかかわらず、商品またはサービスを現実に受領または利用開始するまでの間、当社またはショップは当該決済の対象となる取引を取消すことができるものとします。
  2. 会員がクーポンを第7条に定める特典との交換に利用した後に、第5条によりクーポンが取消された場合、特典との交換の申し込みは取消されまたは留保されることがあります。第5条第2項に起因する場合においては、指定ウェブサイトに定める契約成立の有無にかかわらず、特典を現実に受領するまでの間、当社またはショップは当該特典との交換の申し込みを取消すことができるものとします。

第10条（換金の禁止）

  1. 会員は、いかなる場合でもクーポンを換金することはできません。

第11条（第三者による使用）

  1. クーポンの利用は、会員本人が行うものとし、当該会員以外の第三者が行うことはできません。
  2. 当社は、クーポン利用時に入力されたユーザIDおよびパスワードが登録されたものと一致することを当社所定の方法により確認した場合には、会員による利用とみなします。

第12条（税金および費用）

  1. クーポンの取得、利用、特典との交換等に伴い税金や付帯費用が発生する場合には、会員がこれを負担するものとします。

第13条（会員資格の喪失および停止）

  1. 会員が会員の地位を喪失した場合には、当該会員が保有するクーポンはすべて失効し、クーポンを決済に利用する権利、特典との交換の権利、その他本サービスの利用に関する一切の権利を失うものとします。

第14条（免責等）

  1. 当社は、本サービスの運用にその時点での技術水準を前提に最善を尽くしますが、障害が生じないことを保証するものではありません。通信回路やコンピュータの障害等、当社の責めによらない不可抗力によるシステムの中断、遅延、中止、データの消失、クーポン利用に関する障害、データの不正アクセスにより生じた損害、その他本サービスに関して会員に生じた損害について、当社は責任を負わないものとします。
  2. ショップクーポンはショップにより発行されるクーポンであり、当社はその内容およびその履行について関知せず、ショップクーポンの利用またはショップクーポンを利用できないことにより会員に生じた損害につき、当社は、当社の責めに帰すべき事由に基づく場合を除き、責任を負わないものとします。
  3. 本サービスに関連し、当社の責めに帰すべき事由により会員に損害が生じた場合であっても、当社の故意または重過失によらない場合には、賠償の対象となる損害は現実に生じた直接かつ通常の損害に限るものとします。

第15条（本サービスの変更）

  1. 当社は、会員に事前に通知することなく、本規約、ガイドライン等、本サービスの内容または本サービス提供の条件の変更（クーポンの廃止、利用停止、発行停止、クーポンの内容変更、指定ウェブサイトの変更等を含みますが、これに限りません）もしくは本サービスを終了または停止することがあり、会員はこれをあらかじめ承諾するものとします。

ふるさと納税クーポン等に関する利用規約

第1条（目的）

  1. 本規約は、楽天グループ株式会社（以下「当社」といいます）が、楽天会員規約（以下「会員規約」といいます）に基づき会員登録をした会員（以下「会員」といいます）に対して、ふるさと納税クーポンその他当社指定のクーポンおよびこれに関連するサービス（以下「本サービス」といいます）を提供するにあたり、その諸条件を定めるものです。
  2. 本サービスに関し本規約に規定のない事項については、別途当社の定めるルール、ガイドライン等（以下「ガイドライン等」といいます）および会員規約が適用されます。
  3. クーポンが適用される取引について、当社と会員との間に適用される規約と本規約が異なる場合、本規約が優先して適用されます。

第2条（ふるさと納税クーポン等）

  1. 本サービスにおいて当社が提供するふるさと納税クーポンその他当社指定のクーポン（以下「クーポン」といいます）は、当社または当社が指定する第三者が発行するクーポンであって、当社または当該第三者が指定するウェブサイトおよびそれらを利用するためのアプリケーション（以下「指定ウェブサイト」といいます）において使用することができるものをいいます。
  2. 会員による自治体への寄付その他クーポンの付与条件、会員がクーポンによって受けることができるサービスの内容、クーポンの有効期間、利用条件、その他の諸条件等は、当社が別途クーポンごとに定めるものとし、会員はクーポンを受領する都度これらを確認のうえクーポンを利用するものとします。
  3. 会員が、クーポンごとに定められている付与条件を充足した場合、当社は会員に対してクーポンの付与を行います。
  4. 当社（当社が指定する第三者を含み、以下同様）が、所定のウェブサイトにおけるクリック、URLの入力、その他クーポンの取得方法を指定する場合、会員は当該クーポンの取得にあたり、所定の手続きを行うものとします。
  5. 会員は、当社が定める利用条件を充足した場合、当社所定の方法によりクーポンを利用することができます。

第3条（クーポンの管理）

  1. 当社は、当社所定の方法により、会員が保有するクーポンの数および内容等を会員に告知します。
  2. 第1項のクーポンの数および内容等に関する最終的な決定は当社が行うものとし、会員はこれに従うものとします。

第4条（クーポンの譲渡の禁止）

  1. 会員は、保有するクーポンを第三者に譲渡または質入したり、会員間でクーポンを共有したりすることはできません。
  2. 一人の会員が複数の会員登録をしている場合、会員はそれぞれの会員登録において保有するクーポンを他の会員登録に移し、または合算することはできません。

第5条（クーポンの取消しおよび消滅）

  1. 当社は、次の各号のいずれかに該当すると判断した場合、会員に事前に通知することなく、会員が保有するクーポンの一部または全部の利用を制限する場合があります。
    (1) 当社がクーポンを付与した後に、会員が当該クーポンについて付与条件を充足していないことが明らかとなった場合
    (2) 会員に違法行為または不正行為があった場合
    (3) 本規約、会員規約、その他当社が定める規約またはルール等に違反があった場合
    (4) その他、会員に付与されたクーポンを取消すことが適当であると当社が合理的に判断した場合
  2. 当社は、技術上または事務処理上、当社が予定していた内容と異なった内容で発行した場合等、会員に付与したクーポンを取消すことが適当であると当社が合理的に判断した場合、指定ウェブサイトに定める契約成立の有無にかかわらず、商品またはサービスを現実に受領または利用開始するまでの間、会員に事前に通知することなく、会員が保有するクーポンの一部または全部を取消すことができます。
  3. 会員が、クーポンごとに定められる有効期間内に当該クーポンを利用しない場合、当該クーポンは有効期間経過後、自動的に消滅します。

第6条（決済におけるクーポンの利用）

  1. 会員は、保有するクーポンの内容に応じ、指定ウェブサイトにおける商品またはサービスの代金（送料、手数料および消費税を含みます。以下同様）の全部または一部の支払い（以下「決済」といいます）において、当社所定の方法によりこれを支払手段として利用することができます。
  2. 当社は、前項のクーポン利用の対象となるサービスまたは商品等を制限し、またはクーポンの利用に条件を付す場合があります。
  3. 会員は、クーポンを利用せずに決済を完了した場合、決済後に当社または当該取引の相手方に対してクーポンの利用を請求することはできません。
  4. 会員は、クーポン利用の取消しもしくはクーポンを利用して決済した取引の取消しまたは変更を希望する場合には、当該取引の相手方との間で直接これを解決するものとします。当社は、当社の責めに帰すべき事由に基づく場合を除き、クーポンの返還、再発行またはクーポン利用分の代金額の返金等を行いません。なお、クーポンの内容または利用条件として別途定めのある場合はこれに従うものとします。
  5. クーポンを決済に利用するに際し、当該クーポンによる支払い額、その他享受する利益の額が決済代金を上回る場合でも、会員は、当社または当該取引の相手方に対して、当該クーポンと決済代金の差額の返金（現金、ポイント、クーポン等の媒体を問いません）または追加での商品もしくはサービスの提供を請求することはできないものとします。

第7条（事故等）

  1. クーポンを利用して購入した商品またはサービス等につき、その配送中または配送後の紛失、盗難、損害、破損および配送の遅延等の商品またはサービスの提供に関する事故・トラブルについて、当社は、当社の責めに帰すべき事由に基づく場合を除き責任を負わず、クーポンの返還等も行わないものとします。

第8条（クーポン利用後のクーポンの取消し）

  1. 会員が決済においてクーポンを利用した後に、第5条によりクーポンが取消された場合、当該決済の対象となる取引が取消されまたは留保されることがあります。第5条第2項に起因する場合においては、指定ウェブサイトに定める契約成立の有無にかかわらず、商品またはサービスを現実に受領または利用開始するまでの間、当社は当該決済の対象となる取引を取消すことができるものとします。

第9条（換金の禁止）

  1. 会員は、いかなる場合でもクーポンを換金することはできません。

第10条（払い戻し）

  1. 会員は、当社所定の場合を除き、クーポンの払い戻しを受けることはできません。

第11条（第三者による使用）

  1. クーポンの利用は、会員本人が行うものとし、当該会員以外の第三者が行うことはできません。
  2. 当社は、クーポン利用時に入力されたユーザIDおよびパスワードが登録されたものと一致することを当社所定の方法により確認した場合には、会員による利用とみなします。

第12条（税金および費用）

  1. クーポンの取得、利用、特典との交換等に伴い税金や付帯費用が発生する場合には、会員がこれを負担するものとします。

  1. 当社は、会員に事前に通知することなく、本規約、ガイドライン等、本サービスの内容または本サービス提供の条件の変更（クーポンの廃止、利用停止、発行停止、クーポンの内容変更、指定ウェブサイトの変更等を含みますが、これに限りません）もしくは本サービスを終了または停止することがあり、会員はこれをあらかじめ承諾するものとします。

Terms and Conditions(RaCoupon)

Article 1 Purpose

  1. This Terms of Use shall stipulate the terms and conditions for providing RaCoupon and the related services (hereinafter referred to as the "Services") by Rakuten Group, Inc. (hereinafter referred to as the "Company") to members who have registered as members (hereinafter referred to as "Members") under the Rakuten Membership Rules (hereinafter referred to as the "Membership Agreement").
  2. Rules, guidelines etc. otherwise specified by the Company (hereinafter referred to as "guidelines etc.") and the Membership Agreement shall be applied to matters regarding the Services not stipulated in this Terms of Use.
  3. If this Terms of Use applicable to the transaction to which Coupons apply differ from other Terms of Use applicable to the transaction between the Company and Members, this Terms of Use shall be applied.

Article 2 RaCoupon

  1. Coupons provided by the Company in the Services (hereinafter referred to as "Coupons") shall be of the two types specified below.
    (1) Service Coupons - Coupons issued by the Company or third parties designated by the Company, which can be used at the Rakuten Ichiba Mall, websites designated by the Company or the third parties and applications for using them (hereinafter referred to as the "designated websites") except the coupons which defined in next issue.
    (2) Shop Coupons – Coupons issued by third parties designated by the Company (including, but not limited to, tenants of the Rakuten Ichiba Mall and accommodation facilities registered in Rakuten Travel) (hereinafter referred to as "Shops" ) to Members through the system provided by the Company, or issued by the Company within the conditions defined with Shops, and which are able to be used on the designated websites.
  2. The Company shall separately determine for each Coupon the conditions for granting Coupons, the content of Services that Members can receive with Coupons, the valid period of Coupons, conditions of use and other conditions. However, for Shop Coupons, Shops shall specify these conditions within the scope approved by the Company. Members shall use Coupons after confirming these conditions each time of receipt.
  3. When Members satisfy the granting conditions prescribed for each Coupon, the Company (or Shops in the case of Shop Coupons) shall grant Coupons to Members.
  4. When the Company (including the third parties designated by the Company in the case of Service Coupons, the same applies hereinafter, or Shops in the case of Shop Coupons) designates Coupons acquisition method, including clicking at a given website, inputting URLs and others, Members shall follow the predetermined procedures to acquire Coupons.
  5. Members are able to use Coupons in the manner prescribed by the Company when the conditions of use specified by the Company (or Shops in the case of Shop Coupons) are satisfied.

Article 3 Management of Coupons

  1. The Company shall announce to Members the number and content etc. of Coupons held by Members in the prescribed method.
  2. The final decision on the number and content of Coupons in Paragraph 1 shall be made by the Company, and Members shall follow such decision.
  3. If Members have doubts about the conditions for granting Shop Coupons, content (conditions of use, content of services that Members can receive with Coupons, valid period, and other various conditions), and the number of Coupons held, they shall verify with the Shops issuing the relevant Coupons.

Article 4 Prohibitions on Transfer of Coupons

  1. Members may not transfer to third parties or pledge Coupons they hold or share Coupons among Members.
  2. A member with multiple membership registrations may not transfer Coupons from one membership registration to another, nor combine such Coupons.

Article 5 Cancellation or Extinguishment of Coupons

  1. When the Company judges that Members fall under any of the following, the Company may cancel part or all of Coupons held by Members without prior notification.
    (1) If, after Coupons are granted, it becomes clear to the Company that Members do not satisfy the conditions for granting of Coupons.
    (2) In the event that Members conduct illegal acts or misconduct.
    (3) In case where Members violate these Terms of Use, Membership Agreement or other terms or rules etc. established by the Company.
    (4) The Company otherwise deems it appropriate to cancel Coupons granted to Members based on reasonable grounds.
  2. If the Company reasonably judges that it is appropriate to cancel Coupons granted to Members due to technical or administrative reasons, such as when the Company or Shops issue Coupons with different contents than planned, the Company may cancel part or all of Coupons held by Members without prior notification until Members actually receive or use goods or services, regardless of whether or not conclusion of contracts set forth in the designated websites.
  3. Unless Members use Coupons during the valid period defined for each Coupon, Coupons shall be automatically expired after the expiration date.

Article 6 Use of Coupons for Settlement

  1. In accordance with the conditions of use for Coupons held by Members, Members may apply Coupons to all or part of the payment of the price of goods or services (including shipping fees, commission and consumption taxes, the same applies hereinafter) (hereinafter referred to as "Settlement") on the designated websites in the method as prescribed by the Company.
  2. The Company (or Shops in the case of Shop Coupons) may restrict services or products, etc. to which Coupons may be applied as described in the preceding paragraph, or set conditions on the use of Coupons.
  3. Members, after completing Settlement without using Coupons, cannot subsequently request the Company, Shops or counterparty to the transaction to use Coupons.
  4. In the event that Members wish to cancel use of Coupons, or cancel or change transactions settled with Coupons, they shall resolve the cancelation or the change directly with counterparty to the transaction. The Company will not return or reissue Coupons, or refund the amount paid with Coupons except where there is any cause attributable to the Company. If there are separate provisions stipulating the content of and conditions of use for Coupons, these provisions shall be complied with.
  5. When using Coupons for Settlement, even if the amount of discount and other benefits entitled with Coupons exceed the settlement price, Members shall not request the Company, Shops or counterparties to the transaction to refund the difference between Coupons and the settlement price (irrespective of whether it is in cash, points, coupons and any other medium), or to provide extra goods or services.

Article 7 Use of Coupons for Purposes Other Than Settlement

  1. In addition to use of Coupons in Settlement as prescribed in the preceding Article, Members are able to use Coupons in accordance with the content of Coupons and entitled to gifts and services, application for lotteries and other privileges (collectively referred to as the "Privileges") in exchange.
  2. The Company (or Shops in the case of Shop Coupons) shall decide the type, content and other conditions of the Privileges for each Coupon.
  3. Privileges may be sometimes provided by affiliated companies entrusted by the Company (or Shops in the case of Shop Coupons) (hereinafter referred to as the "Affiliated Companies"). In this case, conditions of use of the Privileges may be subject to the terms of use and other conditions of the Affiliated Companies. The Company or Shops shall undertake no guarantees for quality or utility, etc. of the Privileges.
  4. The Privileges entitled with Shop Coupons shall be specified by Shops. The Company shall undertake no guarantees for quality or utility, etc. of the Privileges. If Members are in doubt about the Privileges entitled with Shop Coupons, they shall resolve directly with Shops.
  5. The Company (or Shops in the case of Shop Coupons) may change the content of the Privileges entitled with Coupons. The Company also may not offer the Privileges entitled with Coupons due to out of stock, dissolution of partnerships with Affiliated Companies or other reasons.
  6. Members shall not request to return the Privileges or exchange for other Privileges unless the Company (or Shops in the case of Shop Coupons) or Affiliated Companies are to be held responsible.

Article 8 Accidents, etc.

  1. In the event that products purchased with Coupons or the Privileges are lost, stolen, damaged, broken during or after delivery, or delivery is delayed, the Company shall not bear any responsibility or return Coupons unless these accidents arise due to any cause attributable to the Company.

Article 9 Cancelation of Coupons After Use

  1. If Coupons are canceled in accordance with Article 5 after Members have used them in Settlement, transactions which are objects of Settlement may be canceled or reserved. In cases arising from Article 5, Paragraph 2, the Company or Shops may cancel transactions which are objects of Settlement until Members actually receive or use goods or services, regardless of whether or not conclusion of contracts set forth in the designated websites.
  2. If Coupons are canceled in accordance with Article 5 after they have been used to exchange for the Privileges provided as in Article 7, Members' application for exchange for the Privileges may be canceled or reserved. In cases arising from Article 5, Paragraph 2, the Company or Shops may cancel Members' application for exchange for the Privileges until Members actually receives the Privileges, regardless of whether or not conclusion of contracts set forth in the designated websites.

Article 10 Prohibition on Cashing Coupons

  1. Members may not cash Coupons in any circumstances.

Article 11 Use of Coupons by Third Parties

  1. Coupons held by Members may only be used by that Members, and not by a third party
  2. If user IDs and passwords entered when using Coupons are confirmed to be identical to the registered user IDs and passwords in a manner prescribed by the Company, the Company shall deem it Members' use of Coupons.

Article 12 Taxes and Expenses

  1. Members are responsible for taxes and incidental expenses incurred as a result of acquisition, use and exchange for the Privileges of Coupons.

Article 13 Loss and Suspension of Membership Qualification

  1. In the event that Members lose membership qualification, all Coupons held by Members shall be expired, as well as the right to use Coupons for Settlement, the right to exchange Coupons for the Privileges, and all other rights associated with use of the Services.

Article 14 Exemptions

  1. The Company will do its best to operate the Services on the basis of the state of technology at that time, however it shall not guarantee that the Services are free of problems. The Company shall not be liable for interruptions, delays, suspension of systems due to a force majeure event that are not attributable to the Company such as failure of communications circuits and computers etc., data loss, problems with use of Coupons and damages due to unauthorized access of data, and any other damages incurred by Members in relation to the Services.
  2. Shop Coupons are coupons issued by Shops. The Company has no concern with the content and condition of use of Shop Coupons and shall undertake no responsibility for losses sustained by Members due to the use of Shop Coupons or inability to use Shop Coupons except where there is any cause attributable to the Company.
  3. Even if the damage is caused to Members due to reasons attributable to the Company in connection with the Services, the damage to be compensated shall be limited to the direct and ordinary damage actually caused, unless it is due to the willful misconduct or gross negligence of the Company.

Article 15 Changes in the Services

  1. The Company may change Terms of Use, guidelines, etc., the content of the Services or the conditions of provision of the Services, or terminate or suspend the Services without prior notice to Members (including, but not limited to, abolition of Coupons, suspension of use of Coupons, suspension of issuing Coupons, and change in Coupons content, and changes of the designated websites), which Members shall accept in advance.

Terms and Conditions for Coupons such as Hometown Tax Coupon

Article 1 Purpose

  1. This Terms of Use shall stipulate the terms and conditions for providing the hometown tax coupon and others which are designated by the Rakuten Group, Inc (hereinafter referred to as the "Company") and the related services (hereinafter referred to as the "Services") by the Company to members who have registered as members (hereinafter referred to as "Members") under the Rakuten Membership Rules (hereinafter referred to as the "Membership Agreement").
  2. Rules, guidelines etc. otherwise specified by the Company (hereinafter referred to as "guidelines etc.") and the Membership Agreement shall be applied to matters regarding the Services not stipulated in this Terms of Use.
  3. If this Terms of Use applicable to the transaction to which Coupons apply differ from other Terms of Use applicable to the transaction between the Company and Members, this Terms of Use shall be applied.

Article 2 Coupons such as Hometown Tax Coupons

  1. Coupons such as hometown tax coupons and others which are designated by the Company provided by the Company in the Services (hereinafter referred to as "Coupons") are issued by the Company or third parties designated by the Company, which can be used at the websites designated by the Company or third parties and applications for using them (hereinafter referred to as the "designated websites").
  2. The Company shall separately determine for each Coupon the conditions for granting Coupons such as donations to the local government by Members, the content of Services that Members can receive with Coupons, the valid period of Coupons, conditions of use and other conditions. Members shall use Coupons after confirming these conditions each time of receipt.
  3. When Members satisfy the granting conditions prescribed for each Coupon, the Company shall grant Coupons to Members.
  4. When the Company (including the third parties designated by the Company, the same applies hereinafter) designates Coupons acquisition method, including clicking at a given website, inputting URLs and others, Members shall follow the predetermined procedures to acquire Coupons.
  5. Members are able to use Coupons in the manner prescribed by the Company when the conditions of use specified by the Company is satisfied.

Article 3 Management of Coupons

  1. The Company shall announce to Members the number and content etc. of Coupons held by Members in the prescribed method.
  2. The final decision on the number and content of Coupons in Paragraph 1 shall be made by the Company, and Members shall follow such decision.

Article 4 Prohibitions on Transfer of Coupons

  1. Members may not transfer to third parties or pledge Coupons they hold or share Coupons among Members.
  2. A member with multiple membership registrations may not transfer Coupons from one membership registration to another, nor combine such Coupons.

Article 5 Cancellation or Extinguishment of Coupons

  1. When the Company judges that Members fall under any of the following, the Company may set limit to use part or all of Coupons held by Members without prior notification.
    (1) If, after Coupons are granted, it becomes clear to the Company that Members do not satisfy the conditions for granting of Coupons.
    (2) In the event that Members conduct illegal acts or misconduct.
    (3) In case where Members violate these Terms of Use, Membership Agreement or other terms or rules etc. established by the Company.
    (4) The Company otherwise deems it appropriate to cancel Coupons granted to Members based on reasonable grounds.
  2. If the Company reasonably judges that it is appropriate to cancel Coupons granted to Members due to technical or administrative reasons, such as when the Company issues Coupons with different contents than planned, the Company may cancel part or all of Coupons held by Members without prior notification until Members actually receive or use goods or services, regardless of whether or not conclusion of contracts set forth in the designated websites.
  3. Unless Members use Coupons during the valid period defined for each Coupon, Coupons shall be automatically expired after the expiration date.

Article 6 Use of Coupons for Settlement

  1. In accordance with the conditions of use for Coupons held by Members, Members may use Coupons as means of payment to all or part of the payment of the price of goods or services (including shipping fees, commission and consumption taxes, the same applies hereinafter) (hereinafter referred to as "Settlement") on the designated websites in the method as prescribed by the Company.
  2. The Company may restrict services or products, etc. to which Coupons may be applied as described in the preceding paragraph or set conditions on the use of Coupons.
  3. Members, after completing Settlement without using Coupons, cannot subsequently request the Company or counterparty to the transaction to use Coupons.
  4. In the event that Members wish to cancel use of Coupons, or cancel or change transactions settled with Coupons, they shall resolve the cancelation or the change directly with counterparty to the transaction. The Company will not return or reissue Coupons, or refund the amount paid with Coupons except where there is any cause attributable to the Company. If there are separate provisions stipulating the content of and conditions of use for Coupons, these provisions shall be complied with.
  5. When using Coupons for Settlement, even if the amount of payment or other enjoyed benefits entitled with Coupons exceed the settlement price, Members shall not request the Company or counterparties to the transaction to refund the difference between Coupons and the settlement price (irrespective of whether it is in cash, points, coupons and any other medium), or to provide extra goods or services.

Article 7 Accidents, etc.

  1. In the event that products or services purchased with Coupons are lost, stolen, damaged, broken during or after delivery, or delivery is delayed, the Company shall not bear any responsibility or return Coupons unless these accidents arise due to any cause attributable to the Company.
